Terms of Service
1. Agreement
These Terms of Service (“Terms”) govern access to and use of FactoryLogiq websites, software, and related services operated by Andrew Junkuhn / FactoryLogiq (“we”, “us”). By creating an account, using the free workspace, or purchasing consulting, you agree to these Terms. If you use FactoryLogiq for an organization, you represent that you have authority to bind that organization.
2. The service
FactoryLogiq provides a Sample-to-FOB control system for independent footwear (and related) brands — including release gates, evidence tracking, cost snapshots, and related tools. Free access includes unlimited styles as described on the site; features, fair-use limits (e.g. file storage), and capacity may change as the product evolves.
Optional paid services (e.g. Factory Control Assessment, Ongoing Factory Support) are consulting / operator services described at the time of purchase and may be governed by a separate statement of work.
3. Accounts
You must provide accurate registration information and keep credentials secure. You are responsible for activity under your account. We may suspend or terminate accounts that abuse the service, violate these Terms, or create legal risk.
4. Your content & project data
You retain ownership of data you upload or enter (styles, notes, files, cost inputs, etc.). You grant us a limited license to host, process, and display that data solely to operate and improve FactoryLogiq (including backups, security, and optional AI features you use).
You represent that you have the rights to submit the data you enter and that doing so does not violate third-party rights or export/confidentiality obligations with factories or brands.
5. AI-assisted features
Some features may use third-party models (e.g. via OpenRouter) to draft floor briefs or estimate landed-cost components. Outputs are estimates and drafting aids only. They are not legal advice, customs rulings, certified costing, or a substitute for your commercial judgment or factory contracts. Always verify numbers and decisions before authorizing production.
6. Authorization & liability logs
FactoryLogiq may record when production is authorized with open or at-risk gates. Those logs are tools for your operational discipline. They do not create, transfer, or remove legal liability between you and any factory unless separately agreed in your commercial contracts. You remain solely responsible for production authorizations and factory relationships.
7. Acceptable use
You may not: reverse engineer the service except as allowed by law; probe or disrupt systems; use the service for unlawful purposes; upload malware; or resell free accounts as a competing hosted product without our written consent.
8. Fees (paid services)
Free software tiers are provided without charge as described. Paid consulting or operator services are invoiced or charged as agreed. Fees are generally non-refundable once work has started, unless required by law or stated otherwise in writing.
9. Intellectual property
FactoryLogiq software, branding, UI, and documentation are owned by us or our licensors. These Terms do not transfer ownership of our IP to you. Feedback you provide may be used to improve the product without obligation to you.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that AI estimates will be accurate.
FactoryLogiq is a control and documentation tool. It is not a substitute for legal counsel, customs brokerage, quality certification, or on-site factory management unless you separately engage us for operator services.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES, OR FOR PRODUCTION DELAYS, FACTORY DISPUTES, OR LOST BUSINESS, ARISING FROM USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE FREE SOFTWARE SERVICE IN ANY 12-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) FEES YOU PAID US FOR THE SERVICE IN THAT PERIOD OR (B) EUR 100.
Nothing in these Terms limits liability that cannot be limited under applicable law (e.g. intent, gross negligence, or liability for death or personal injury caused by negligence where such limitation is prohibited).
12. Indemnity
You will defend and indemnify us against claims arising from your project data, your factory relationships, your production authorizations, or your misuse of the service, except to the extent caused by our willful misconduct.
13. Termination
You may stop using the service at any time. We may suspend or terminate access for breach or risk to the service. Upon termination, your right to use the software ends; provisions that by nature should survive (IP, liability, indemnity) will survive.
14. Privacy
Personal data is handled as described in our Privacy Policy.
15. Governing law
These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules. Courts in Berlin, Germany shall have jurisdiction, subject to mandatory consumer protections where applicable.
16. Changes
We may update these Terms by posting a new version on this page. Continued use after the effective date constitutes acceptance of material changes where permitted by law.
